Rules Need Exceptions Too: How Governance Should Handle Escalation Without Losing Accountability

A rule that cannot handle reality eventually gets bypassed
Governance requires rules because people need to know what is normally allowed, who has authority and which evidence is required. But no rulebook can predict every circumstance. The challenge is allowing legitimate exceptions without turning “exception” into a convenient way to avoid accountability.

Define the normal rule first
An exception has meaning only if the baseline is clear. What is normally required? Who normally approves? Which threshold normally applies? Without a clear rule, people are not managing exceptions; they are improvising.

The person requesting an exception should explain which condition prevents the normal rule from working and what evidence supports that view. Urgency alone should not automatically justify bypassing control.
Match authority to the significance of the exception
A local manager may handle a minor operational variation. A high-value, legal, safety or reputational exception may require escalation. Governance should make those thresholds visible before pressure arrives.
Preserve the evidence behind approval
A controlled exception should leave a record of the request, evidence, authority, conditions and decision. This protects both the institution and the decision-maker from later ambiguity.
Limit exceptions where appropriate
Some approvals should expire, apply only to one case or require review after a defined period. Otherwise a temporary exception can quietly become a permanent unwritten rule.
Review repeated exceptions
If the same exception appears repeatedly, the organization should ask whether the original rule is unrealistic. A mature governance system is willing to redesign a weak rule instead of approving the same workaround forever.
Do not confuse flexibility with absence of control
Governance should allow the organization to respond to context while preserving responsibility. The objective is neither rigid bureaucracy nor unrestricted discretion. It is answerable judgment.
