Economic Substance (ESR)

Economic Substance requirements test whether an entity has real governance, control and activity aligned to its jurisdiction. A weak substance posture can trigger regulatory scrutiny, banking friction, and reputational risk—especially for holdings, finance, IP, distribution, and cross-border structures. What ESR Requires

ESR typically evaluates: (i) relevant activities, (ii) core income generating activities (CIGA), (iii) adequate people, premises and expenditure, and (iv) governance control (including decision-making location and evidence).
