Economic Substance (ESR)
Economic Substance requirements test whether an entity has real governance, control and activity aligned to its jurisdiction. A weak substance posture can trigger regulatory scrutiny, banking friction, and reputational risk—especially for holdings, finance, IP, distribution, and cross-border structures. We assess, document and align substance in a defensible, audit-ready way.
What ESR Requires
ESR typically evaluates: (i) relevant activities, (ii) core income generating activities (CIGA), (iii) adequate people, premises and expenditure, and (iv) governance control (including decision-making location and evidence). The aim is not “more paperwork”—it is consistent operational reality supported by evidence.
Activity Classification
Determine whether the entity performs a relevant activity and what reporting applies.
- Relevant activity assessment
- CIGA identification
- Operating vs holding delineation
- Documentation scope definition
Substance Evidence
Build evidence that matches how the entity actually operates and is governed.
- Governance and decision records
- People / premises / expenditure mapping
- Vendor and service agreements alignment
- Audit-ready evidence pack
Ongoing Compliance
Maintain a repeatable posture year after year—especially where banking is critical.
- Annual reporting readiness
- Change monitoring (activity/ownership)
- Calendar and controls
- Remediation support
Cross-Border Alignment
Substance posture must align with where management control sits, where services are delivered, and where key decisions occur. We coordinate substance logic with banking, tax and governance so a multi-entity group remains consistent across jurisdictions.
